Incorporation can take place from outside as well as from inside Costa Rica . Other crucial factors are:

  • The capital of the corporation: the higher the capital, the more registration taxes are to be paid;

  • The number of shares composing such capital since shares cannot be divided according to Costa Rican Law neither are fractions of shares acceptable; thus, it is advisable to have a number of shares that would permit future distributions of the participation in the company.

  • The representation of the company during incorporation: there must be at least one representative of the company with powers of attorney to act on its behalf; however, at the time of incorporation, or later on, the powers of the company's representatives may be limited, for example, to specific actions or amounts.

  • REGISTRATION OF THE BUSINESS ENTERPRISE

In order to register a business enterprise (public company, limited liability, limited partnership or company in collective name), the public document has to be presented before the Merchant Registry, with the objective of registering it and to obtain the corporate identification number (cédula jurídica in spanish).
